The principle

Taskforce does not sell hours.

Engagements are scoped to deliverables, with milestones agreed before work begins. Pricing is a function of scope, technical risk, and the structure chosen — not of seat-time.

Because the firm is not under conventional consultancy billing pressure, equity and hybrid engagements are available without distortion. We can take work that would not be commercially viable for a fee-only competitor.

In all structures, IP terms are explicit and protective. Default consequences are explicit. Right of first refusal is explicit.

No engagement proceeds without a signed scope agreement.

A

Option A — Payment

Fixed scope, fixed fee, milestone-released. The default structure for clients with a clear budget envelope and a defined deliverable.

Payment is due within 14 days of milestone delivery confirmation.

Retention of title applies to all deliverables until each milestone is paid.

B

Option B — Equity

Full development capability deployed in exchange for an equity stake in the technology or the client entity. Used where the client is in a stage at which fees would be either uneconomical or distortive.

Equity is transferred within 30 days of engagement signing.

Taskforce retains a right of first refusal on any sale or transfer of the developed technology or the client entity for a period of 5 years from engagement completion.

C

Option C — Hybrid

Reduced cash payment combined with equity participation.

Hybrid is the most common structure for early-stage companies with validated technology and a credible path to market.

IP protection

Retention of title

Title to all deliverables — software, hardware designs, documentation, technical artefacts — remains with Taskforce Solutions until the applicable consideration (cash, equity, or a combination) has been received in full. This applies in all engagement structures. Title transfer is documented at the point of transfer.

Right of first refusal

Taskforce holds a right of first refusal on any subsequent sale or transfer of the developed technology, the IP, or the client entity itself, in the event of a transaction. This applies whether or not Taskforce holds equity at the time of the proposed transaction. The right is structured to allow Taskforce to match a bona fide third-party offer within a defined window.

Payment default

In the event of payment default — non-payment, late payment beyond cure period, or breach of equity vesting conditions — Taskforce reserves the right to reclaim delivered IP, suspend ongoing work, and pursue contractual remedies. Default terms are documented in each engagement contract and are not negotiable in their core form.
